Terms of Service

These Terms of Service ("Terms" or "Agreement") govern your access to and use of ORPIO, the operational readiness platform operated by Waypoint Platform Group, Inc. ("Waypoint Platform Group," "we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company. If you do not agree to these Terms, you may not access or use the Service.

ORPIO is a cloud-based software platform that helps hotel owners, developers, and operators manage hotel openings and renovations through a 12-gate milestone system, department-based task management, gate approvals, team collaboration, and reporting tools. The Service is offered in three subscription tiers — Launch, Scale, and Pro — each with different included limits for projects, team members, and tasks, as described on our pricing page.

To use the Service, you must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use. Account owners ("Owner/Admin" role) are responsible for managing team members, roles, and access within their account. You must be at least 16 years old to use the Service.

We offer a 7-day free trial that provides access to a condensed task library with limited features. A valid payment method is required to start the trial. You will not be charged during the trial period. Unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged according to your selected plan. You may cancel the trial at any time before it ends to avoid being charged.

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing interval. Payments are processed by Stripe. All fees are non-refundable except where required by law. Add-on purchases (extra projects and extra users) are billed as described on our pricing page. We may change our pricing upon reasonable notice; price changes will not apply to your current commitment term but will apply upon renewal.

All paid plans require a 12-month commitment beginning at the end of the free trial. During the commitment term, you may upgrade your plan at any time (charges will be prorated). Downgrades to a lower-tier plan are not available during the commitment term. Early termination of the commitment term does not entitle you to a refund of prepaid fees, except where required by law. Annual billing offers a 17% discount compared to monthly billing.

You agree not to: • Use the Service for any unlawful purpose or in violation of any law. • Upload, store, or transmit malware, viruses, or malicious code. • Attempt to gain unauthorized access to the Service, other accounts, or our systems. • Interfere with or disrupt the Service, servers, or networks. • Scrape, copy, or reverse-engineer the Service or its components. • Share your account credentials or resell access to the Service without authorization. • Upload content that infringes the intellectual property or privacy rights of others. • Use the Service to send spam or unsolicited communications. Violations may result in account suspension or termination.

The Service, including its software, design, features, templates, and documentation, is owned by Waypoint Platform Group and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, branding, or proprietary content except as necessary to use the Service. We reserve all rights not expressly granted herein.

You retain ownership of all data and content you upload to or create within the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content as necessary to operate the Service for you and your team. You are responsible for ensuring you have the rights to upload Your Content and that it does not violate applicable law or third-party rights. You may export Your Content subject to your plan's export capabilities. Upon account termination, you have 30 days to export Your Content before it is permanently deleted.

We may investigate and take action — including warning, suspending, or terminating accounts — if we believe you have violated these Terms or applicable law. We may also report violations to authorities or take legal action to protect our rights and the safety of our users. We are not obligated to monitor user content but reserve the right to do so.

You may cancel your subscription at any time, subject to the 12-month commitment. Cancellation stops future billing at the end of the current commitment term. We may suspend or terminate your account immediately if you breach these Terms, pose a legal or security risk, or if required by law. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will remain in effect.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TASK TEMPLATE OR RECOMMENDATION IS ACCURATE OR SUITABLE FOR YOUR SPECIFIC PROJECT. YOU ARE RESPONSIBLE FOR YOUR OWN PROJECT DECISIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPOINT PLATFORM GROUP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Waypoint Platform Group, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your violation of these Terms; (c) your violation of applicable law or third-party rights; or (d) your misuse of the Service.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. The parties waive any objection to venue and jurisdiction in such courts.

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, sending a notification through the Service or via email. The "Last updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
